By accessing or using Manage My Courses ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Manage My Courses regarding your use of our training management platform and related services.

Manage My Courses provides a cloud-based training management platform that enables training providers to:

• Manage courses, sessions, and trainers

• Process bookings and payments

• Track learner progress and certifications

• Generate reports and analytics

• Communicate with delegates and partners

To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account.

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Platform or other users.

Access to the Platform is provided on a subscription basis. Subscription fees, features, and terms are as described on our pricing page at the time of purchase.

Subscription fees are payable in advance. All payments are processed securely through Stripe. You authorise us to charge your payment method for all fees incurred.

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws

• Attempt to gain unauthorised access to any part of the Platform

• Interfere with or disrupt the Platform or servers connected to the Platform

• Upload or transmit viruses, malware, or other harmful code

• Impersonate any person or entity or misrepresent your affiliation

• Collect or harvest user data without authorisation

• Use the Platform to send spam or unsolicited communications

• Reverse engineer or attempt to extract the source code of the Platform

The Platform, including its design, features, and content, is owned by Manage My Courses and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

You retain ownership of any content you upload to the Platform. By uploading content, you grant us a non-exclusive, worldwide licence to use, store, and process that content for the purpose of providing our services.

We process personal data in accordance with our Privacy Policy. Where you use the Platform to process personal data of your delegates or employees, you act as the data controller and we act as the data processor.

You agree to comply with all applicable data protection laws when using the Platform and to obtain all necessary consents from individuals whose data you process through the Platform.

The Platform may integrate with third-party services such as Stripe, Xero, and Microsoft Teams. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability or functionality of third-party services.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANAGE MY COURSES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Manage My Courses and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
